Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Clausely ("we", "us", or "our") governing your access to and use of the Clausely platform.
By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

1. Definitions
- "Platform" means the Clausely web application and associated services
- "User" means any person who accesses or uses the Platform
- "Landlord" means a User who creates and manages lease agreements
- "Tenant" means a person who signs a lease agreement via the Platform
- "Document" means any lease agreement or other legal document generated on the Platform
2. Account Terms
2.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Platform, you represent and warrant that you meet these requirements.
2.2 Account Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with any third party
- Use a strong password and change it regularly
3. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable laws, regulations, or third-party rights
- Generate documents containing false or misleading information
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Platform or its systems
- Interfere with or disrupt the integrity or performance of the Platform
- Collect or store personal information about other users without their consent
- Create multiple accounts for fraudulent purposes
- Use the Platform for any illegal or unauthorized purpose
4. User Content
You retain ownership of any content you upload to the Platform ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for providing our services.
You represent and warrant that you have the right to upload such content and that it does not violate any third-party rights or applicable laws.
5. Payment and Subscription
5.1 Subscription Plans
Clausely offers subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
5.2 Payment Processing
Payments are processed via Paystack. By providing payment information, you authorize us to charge the applicable fees to your payment method.
5.3 Refunds
Subscription fees are non-refundable. You may cancel your subscription at any time, and you will continue to have access until the end of your billing period.
6. Intellectual Property
The Platform, including all content, features, and functionality, is owned by Clausely and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Platform without our prior written consent. The Clausely name and logo are trademarks of Clausely.
7. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
WHILE WE STRIVE TO PROVIDE LEGALLY COMPLIANT DOCUMENT TEMPLATES, WE DO NOT PROVIDE LEGAL ADVICE. YOU SHOULD CONSULT WITH A QUALIFIED LEGAL PROFESSIONAL FOR SPECIFIC LEGAL MATTERS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAUSELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR OUR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Clausely and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of your use of the Platform or your violation of these Terms.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.
Upon termination, your right to use the Platform will immediately cease. You may delete your account at any time through your Account Settings.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
